1. Scope

These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services between BergTech Solutions GmbH and its customers in the version valid at the time the contract is concluded.

BergTech Solutions GmbH supplies exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers within the meaning of § 13 BGB.

2. Conclusion of Contract

The offers of BergTech Solutions GmbH are non-binding and subject to change. By placing an order, the customer makes a binding offer to contract. The contract is concluded with written order confirmation or upon delivery.

3. Prices and Payment

All prices are in euros and include statutory VAT. Payments are due immediately without deduction unless otherwise agreed.

4. Delivery and Performance

Delivery dates are only binding if confirmed in writing. BergTech Solutions GmbH is entitled to make partial deliveries if these are reasonable for the customer.

5. Retention of Title

The delivered goods remain the property of BergTech Solutions GmbH until full payment has been made.

6. Warranty

The statutory warranty rights apply. In the event of defects, the customer is entitled to subsequent performance. If two attempts at rectification fail, the customer may withdraw from the contract or demand a reduction.

7. Liability

BergTech Solutions GmbH is liable without limitation for damages arising from injury to life, body or health resulting from a negligent or intentional breach of duty, as well as for damages within the scope of the Product Liability Act (Produkthaftungsgesetz). It is likewise liable without limitation in cases of intent, gross negligence and where a guarantee has been assumed. In the event of a slightly negligent breach of a material contractual obligation (cardinal obligation) — an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the contracting party may regularly rely — liability is limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.

8. Data Protection

Our privacy policy applies. Personal data is processed only within the framework of statutory provisions.

9. Place of Jurisdiction and Applicable Law

German law applies. The place of jurisdiction is Dresden, as far as legally permissible.

10. Final Provisions

If individual provisions of these GTC are invalid, the validity of the remaining provisions shall remain unaffected.
